Terms and Conditions

  1. General 
  • The access, use of and linking to the iAM Smart Sandbox Programme (“Sandbox Programme”) is subject to the Terms and Conditions of use (“T&C”) set out below. For the avoidance of doubt, the Sandbox Programme or the Sandbox Programme platform include this website, Integration Testing Environment (“ITE”) with the infrastructure, hardware, software and Application Programme Interfaces (“APIs”) in this website and ITE, mobile application for use in ITE, helpdesk, and their contents.
  • By accessing, using or linking to the Sandbox Programme, or accessing or using the APIs or the contents, you are deemed to have unconditionally accepted the T&C. If you do not agree with any of the T&C, please do not access, use or link to the Sandbox Programme, or access or use the APIs or the contents.
  • If you access, use or link to the Sandbox Programme, or access or use the APIs or the contents on behalf of an entity (e.g. your organisation or company), you represent or warrant that you have authority to unconditionally accept the T&C on behalf of that entity and to bind that entity to the T&C (and the reference to “you” in the T&C shall refer to you and that entity).
  • The T&C may be amended from time to time by the Hong Kong Cyberport Management Company Limited (“Cyberport”) without any notice. Accessing or using or linking to the Sandbox Programme platform or using the APIs or the contents after any such amendments constitutes acceptance of such amendments. Please check the T&C regularly for any amendments which may be made.
  • You shall not interfere with or disrupt the operation of the Sandbox Programme, the APIs or the servers or networks providing the Sandbox Programme or the APIs, or tamper with the information. You shall not transmit, inject or introduce to the Sandbox Programme platform or the APIs any virus, worm, Trojan horse or any other code or software that is harmful, of a malicious nature, or may or is intended to damage the operation of, monitor the use of, or permit unauthorised access to the Sandbox Programme platform, the APIs or any hardware, software or equipment of Cyberport and the Office of the Government Chief Information Officer (“OGCIO”) of the Government of the Hong Kong Special Administrative Region of the People’s Republic of China (“the Government”) .
 
  1. Obligations and Responsibilities

          Cyberport’s Obligations and Responsibilities 

  • Cyberport shall provide the Sandbox Programme platform including but not limited to the API specifications and mock-ups, quick start guide, help-desk service, etc. to you on an “AS IS” basis.
  • Whilst Cyberport endeavours to make the Sandbox Programme platform and the APIs available during its committed operating hours and to attend to the enquiries soonest possible, Cyberport makes no explicit or implied warranty on the service levels.
  • Cyberport may share your information submitted with OGCIO but will not disclose to any other third parties without your prior consent.
  • Cyberport will log all your activities with the Sandbox Programme platform for various purposes including but not limited to management statistics, problem diagnosis and audit trail. Cyberport may share the activity logs with OGCIO but will not disclose to any other third parties without your prior consent.
  • Cyberport reserves the right, but does not undertake, to revise, modify or update the Sandbox Programme platform and/or release updated versions of the APIs from time to time, which may be done without any prior notice.
  • Cyberport reserves the rights to suspend your access, use or link to the Sandbox Programme platform, or access or use the APIs or the contents at any time without giving any reason or prior notice whatsoever.
  • Cyberport reserves the rights to terminate the Sandbox Programme without giving any reason or prior notice whatsoever.

 

          Your Obligations and Responsibilities 

  • The user account shall only be used by designated person as provided by the participating company in the application form. In case the user account has to be shared among the relevant personnel in the participating company, the designated person shall ensure the security of the user account and be held responsible for any activities done via this user account.
  • The participating company should inform Cyberport immediately of any change of the designated person, and Cyberport will remove the designated person’s account immediately. In case the participating company wishes to continue to use the Sandbox Programme platform and the APIs, the company should propose replacement to Cyberport.
  • The participating company requesting to access the ITE shall complete the application procedures. Cyberport reserves the right to approve and prioritize the application according the operation needs, the validity of the submitted information in the application form. Cyberport and OGCIO may reasonably decline any application where the participating company fails to meet the pre-requisites to access the ITE including any failure to demonstrate the rightful use of APIs.
  • You are required to submit complete and accurate information and respond to enquires which Cyberport or OGCIO may have. You shall promptly provide Cyberport with written notice of any material change to any information or facts relevant to the application provided to Cyberport as part of the application process.
  • You shall keep all data, information and documents provided by the Sandbox Programme restricted for internal use only and shall not be released to the public.
  • You shall not submit illegal, offensive, confidential, personal and infringing information to the Sandbox Programme platform. Cyberport has the full and absolute discretion to decide whether the information you submitted violates the T&C. However, in using the help-desk service, you may be required to provide your account name, company name, contact information, etc. through the Sandbox Programme platform.
  • You should not do or attempt to do the following (or any of them) –
  • decompile, reverse-engineer, convert, adapt, alter, modify, enhance, add to, delete or in any way tamper with the Sandbox Programme platform, including the ITE, APIs or any content in them; and
  • do anything to exploit, interfere or disrupt the Sandbox Programme platform, including the ITE, or the servers and networks through which they are provided.
  • You agree to use the Sandbox Programme platform, including the ITE, APIs or any contents only for purposes that are permitted by this document and applicable laws or regulations of the Government.
  • You shall not use the APIs provided by the Sandbox Programme, including the ITE, in any of your services which has not been approved by the Government.
  • APIs provided by the Sandbox Programme or the ITE shall be used for testing purpose only. They shall not be used in any production environment of your services.
  • You shall only access (or attempt to access) the APIs on the Sandbox website or the ITE by the means described in the API specification or any contents in the Sandbox Programme.
  • At the request of the CyberPort or OGCIO, you shall forthwith stop any use of Sandbox Programme, and remove any parts in your applications and/or web sites which are relevant to the Sandbox Programme including the APIs.
  • You shall not in any means or under any circumstances declare your testing of iAM Smart APIs as a partnership with, sponsorship by or endorsement by iAM Smart without prior written approval from OGCIO.
  • Even after suspension or termination of your subscription of the iAM Smart API in ITE, you remain responsible for any of your actions performed before the suspension or termination. Any clause in this T&C that by their nature are continuing shall survive such suspension or termination.
 
  1. Indemnity
  • You shall indemnify and keep indemnified Cyberport and OGCIO against all claims, actions, proceedings, liabilities, demands, charges, damages, costs, losses or expenses arising out of or resulting from the performance or attempted performance of, the use or attempted use of the Sandbox Programme platform, ITE, APIs or any other contents to the extent that the same are or have been caused by any negligent or reckless conduct, willful misconduct, omission, defamation, breach of statutory duty or breach of any of the terms mentioned in this document by you. This provision survives suspension, invalidation or deregistration of your user account.
 
  1. Copyright
  • Unless otherwise indicated, the contents found on Sandbox Programme platform including but not limited to the ITE and APIs are subject to copyright owned by Cyberport and OGCIO.
  • Prior written consent of Cyberport or OGCIO, as the case may be, is required if you intend to reproduce, distribute or otherwise use any contents found on the Sandbox Programme platform in any ways or for any purposes. Such requests for consent shall be addressed to Cyberport.
 
  1. Disclaimer
  • Neither Cyberport nor OGCIO is responsible for any loss or damage whatsoever arising out of or in connection with any information in this document or the Sandbox Programme, including the ITE.
  • Neither Cyberport nor OGCIO shall be liable for any errors, omissions, misstatements or misrepresentations (express or implied) concerning any aspect of the Sandbox Programme platform, including ITE, or the APIs. Neither Cyberport nor OGCIO shall have or accept any liability, obligation or responsibility whatsoever for any loss howsoever arising from or in respect of any use or misuse of or reliance on the Sandbox Programme platform, including the ITE, and/or APIs, any interruption or inability to access or use the Sandbox Programme platform, including the ITE, and/or APIs, or any transmission from you to Cyberport or vice versa over the Internet, whether in contract, tort, breach of statutory duty or otherwise. Access to and use of the Sandbox Programme platform, including the ITE, and the APIs are entirely at your own risk.
  • The information is provided on an “AS IS” basis and for reference only, and the ITE and the APIs are provided on an “AS IS” and “AS AVAILABLE” basis only. No statement, representation or warranty of any kind is given by Cyberport or OGCIO, whether express or implied, including as to the accuracy, correctness, completeness, title, non-infringement, reliability, security, timeliness and appropriateness of the information or the APIs for the use in any particular circumstances, or that the Sandbox Programme platform, including the ITE, the server(s) and any APIs are and will be uninterrupted or free of viruses and/or other harmful elements, or the continued availability of the Sandbox Programme platform or the APIs.
  • Nothing on the Sandbox Programme platform (including any information, whether provided through the APIs, the ITE or otherwise) constitutes legal, financial or other professional advice. You should consult your professional departments as appropriate.
  • The data or information within the Sandbox Programme platform, including the ITE, are created for testing purpose only and do not represent any real data of any person.
  • Neither Cyberport nor OGCIO guarantee the ITE or APIs provided in the Sandbox Programme platform are exactly the same as the production environment of iAM Smart.
  • Admission to this Sandbox Programme, which includes the iTE,does not necessarily mean that you and / or your entity can adopt the iAM Smart in future, which may be subject to another set of eligibility criteria to be announced.
 
  1. Third Party Term 
  • The Sandbox Programme platform, which includes the ITE, may require, enable or facilitate access to or use of websites, software or services of a third party. In such an event, there may be terms governing the use of such third party websites, software or services that will bind either us or you or both.
 
  1. Personal Information Collection Statement 
  • Cyberport value your privacy and respect your rights. We will not collect, store, or share any personal data.

 

  1. Governing Law
  • The T&C shall be governed and construed in accordance with the laws of the Government. You also agree to submit to the jurisdiction of the Hong Kong Courts.
